The purpose of the Corporate Governance Special Business Team of Interlaw, Ltd
(the “SBT”) is to establish a network and forum by which the professionals of the members of Interlaw interested in advising clients regarding corporate governance matters may share experiences, seek to develop best-practices and establish working relationships to facilitate cross referrals and joint representations.

For purposes of this charter, corporate governance matters shall include, without limitation:

1. advice to officers and directors of business enterprises regarding duties in the specific context of related party transactions, change of control transactions, senior management issues and general protections such as exculpation, indemnification and officer and director liability insurance;
2. internal investigations; and
3. governmental investigations implicating senior management.

Initially, the SBT will focus its attention and membership on North America and
corporate governance matters relevant in North America. Following the successful
establishment of the SBT, the SBT will seek to expand to the entire Interlaw network.
Subject to the advice and consent of the Board of Interlaw, the SBT will select a leader,
and set times and places for its meetings (which may be by conference call). Each member will participate at its own expense.
